3. Project Engagement
- All projects begin after a written agreement (proposal, contract, or Upwork contract) is accepted by both parties.
- Project scope, deliverables, timeline, and payment terms will be clearly defined before work begins.
- Any changes to the agreed scope may result in additional charges and adjusted timelines.
- We reserve the right to decline any project at our discretion.
4. Payment Terms
- Payment terms are outlined in the project proposal or contract.
- For custom projects, an upfront deposit (typically 30-50%) is required before work begins.
- Milestone-based payments may be used for larger projects.
- Final payment is due upon project completion and before handover of all deliverables.
- Late payments may result in suspension of services and access.
5. Intellectual Property
- Upon full payment, all custom code and design assets created specifically for your project are transferred to you.
- Third-party plugins, themes, libraries, and tools retain their respective licenses.
- We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.
- Pre-existing code, frameworks, and proprietary tools used in development remain our intellectual property.
6. Hosting Reseller Services
Softbyte Infotech offers hosting services as an authorized reseller of Hostinger infrastructure. By using our hosting services, you acknowledge and agree to the following:
- Our hosting services are powered by Hostinger's infrastructure. We act as a reseller and intermediary, not as the direct hosting provider.
- Server uptime, hardware performance, and data center operations are managed by Hostinger and subject to their own terms and SLAs.
- We are not liable for any downtime, data loss, or service interruptions caused by Hostinger's infrastructure, maintenance windows, or technical issues beyond our control.
- Website maintenance services (updates, backups, security monitoring) are a separate service from hosting and are billed independently.
- Hosting fees are non-refundable once provisioned (see Refund Policy).
- We reserve the right to migrate hosting infrastructure or providers if necessary, with reasonable notice to affected clients.
- Clients are responsible for maintaining backups of their own content. While we provide backup services as part of maintenance plans, we are not liable for data loss.
7. Maintenance & Support
- Maintenance plans are billed monthly or annually as agreed.
- Maintenance covers: security updates, plugin/core updates, uptime monitoring, small content changes, and priority support.
- Major feature additions, redesigns, or structural changes are outside the scope of maintenance and will be quoted separately.
- Maintenance plans can be cancelled with 30 days' written notice.
8. Client Responsibilities
- Provide all required content, assets, and feedback in a timely manner.
- Ensure you have the legal right to use any content, images, or materials provided to us.
- Review and approve deliverables within the agreed timeframe.
- Maintain the confidentiality of any login credentials or access provided.
9. Limitation of Liability
Softbyte Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the total amount paid by you for the specific service in question. We are not liable for any loss of revenue, data, or business opportunities resulting from the use or inability to use our services.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes, but is not limited to, business strategies, technical specifications, login credentials, and financial information.
11. Termination
- Either party may terminate the engagement with written notice.
- Upon termination, payment is due for all work completed up to the date of termination.
- Deliverables will only be handed over upon full payment of outstanding invoices.
- We reserve the right to terminate services immediately if terms are violated.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in India.
